What is a first contract to binding arbitration?

A first contract would be submitted to binding arbitration so that the workers are guaranteed a collective bargaining agreement.

So, it's just so that a union can be established?  Or are specific demands placed on the employer that they are forced to accept? 
From the wording, it looks like this is for any time a new member joins the union - is that right?

Yes, that does help clear it up.
Could it happen that two companies or departments merging had conflicting labor agreements?
