Oh and you forgot to allow the amendment sponsor to approve the split once Tyrion found it representative of his desires. Technicalyl the amendment sponsor can say no and force a vote on the whole thing together if he desires to do so.

Edited the amendment back to July 1 dates.

As for Tyrion's comment, FASB 142 is practically irrelevant for companies that aren't publicly traded.

True.


The changes are all friendly except cutting out the first sentence of the current clause 4, which I find hostile until we agree on a framework to replace the FASB standards for publicly traded companies.

Wouldn't IFRS be that framework according to DC's amendment?

Sorry for not being clear. I would prefer an Atlasian framework for those standards, as there's no reason to assume homogeneity of Best Accounting Practices.

precedent, not of this split sh**t is written procedure. Tongue That is why the authorization from the amendment sponsor  is necessary, it is basically treated as the amendment sponsor offering a second amendment, containing the firendly parts only so the old amendment revised to just the hostile portions can proceed to a vote quickly.

Yes, but my point is the amendment sponsor authorization is really the lynchpin between this and the rules. The whole thing is just administrative perrogative. 

Smashing the predecent would be discontinuing the practive of doing splits. What you did was just to decouiple the only thread that kept it remotely legal. Tongue

I am fine with replacing accounting standards, but this whole artificial forcing executives to not sell their stock until they're gone for 5 years won't fly with me. We aren't solving any problem with that. We are just postponing the inevitable. Let companies do with their stock what they want. I am too drunk to consider anything else on this matter.
