There was concern in the 1980s that the US would invade Panama. Not the best place to hide your offshore secrets from the US government.

A lot of companies that operate U.S. tax affairs have seperate organisations for American clients, as the IRS has a lot more power than a lot of countries' tax agencies and they have been known to simply rifle through the entire books in their quest to find Americans.
